Donato J. Tramuto, Chief Executive Officer

Donato J. Tramuto is the CEO of Tivity Health®, Inc., a leading provider of fitness, nutrition and social engagement programs, including SilverSneakers®, the nation’s leading fitness program for older adults and Nutrisystem®, a leading weight management program. A recognized innovator and industry leader with nearly four decades of healthcare experience, Donato was named a ‘global healthcare activist’ by The New York Times and is a frequent public speaker on healthcare access, business leadership, healthy aging and social isolation. In less than a year after being named Tivity Health’s CEO, Tramuto executed a turnaround of the company’s performance and engineered a creative sale of a non-performing division, adding nearly $1 billion of valuation to the company. In March 2019, under Donato’s leadership, Tivity Health completed its acquisition of Nutrisystem, creating an integrated portfolio of fitness, nutrition and social engagement solutions to support overall health and wellness. Before joining Tivity Health, Tramuto founded Physicians Interactive Holdings (now known as Aptus Health), a global provider of insight-driven digital engagement solutions for healthcare professionals and consumers. In 2011, Tramuto founded Health eVillages, a non-profit organization which provides state-of-the-art mobile health technology in the most challenging clinical environments and has worked to address healthcare access, recognizing that universal healthcare is a basic human right for all people. He is also the chairman and founder of the Tramuto Foundation, an organization he founded after the tragic events of September 11, 2001. For the last two decades, the foundation has helped young individuals, as well as organizations, achieve on their vision for a right to education and healthcare access, as well as addressing human rights violations. Tramuto has been widely recognized for his more than three-decade commitment to social change and healthcare innovation. In 2014, he was honored with the prestigious Robert F. Kennedy Ripple of Hope Award. Tramuto holds honorary doctorates from the University of Massachusetts at Lowell, Thomas Jefferson University, Lasell College and Saint Joseph’s College. In 2018, he was recognized as an n4a Aging Champion by the National Association of Area Agencies on Aging. A member of the board of Robert F. Kennedy Human Rights, Tramuto is chairman of its Leadership Council where he is leading a national initiative to address workplace dignity and inclusion. Tramuto is also chairman of the board of Robert F. Kennedy Center for Justice & Human Rights Europe. Tramuto serves on several executive leadership boards, including the board of the Boston University School of Public Health, the Livongo Health Foundation, the Brown University Healthcare Leadership Board, the board of directors of Sharecare, Inc., and the board of directors of GoCheck Kids. Dawn M. Zier, President and Chief Operating Officer

Dawn M. Zier is the President and Chief Operating Officer of Tivity Health, Inc (Nasdaq: TVTY) responsible for the revenue and the operations across all company divisions. She also sits on Tivity Health’s Board of Directors. Zier was formerly President and Chief Executive Officer of Nutrisystem, Inc prior to the company’s acquisition by Tivity Health in March of 2019. As Nutrisystem’s CEO from November 2012 through March 2019, Zier championed a strategic vision centered on a multi-brand and multi-channel approach to capturing a more significant share of the weight loss market and expanding into the broader health and wellness space. She led an ambitious 4-point turnaround and growth plan enhancing the company’s integrated ecommerce/marketing capabilities, acquiring the South Beach Diet brand, and introducing several new product lines including a breakthrough digital weight loss tool and industry-first retail and DNA offerings. During her tenure, revenues close to doubled and profits quintupled. This turnaround and growth story has been widely covered by many media outlets including the Wall Street Journal and the New York Times. Nutrisystem was described as “on fire” by the Philadelphia Business Journal and named one of Fortune’s Top 100 Fastest Growing Companies in 2017 and 2018. Zier has a unique background combining a deep understanding of market trends and direct-to-consumer/ecommerce marketing, a trained engineer’s passion for precision and data, and years of business leadership. Prior to her time at Nutrisystem, she held numerous leadership positions at Reader’s Digest Association (now Trusted Media Brands) culminating with President of the international business, the company’s largest division, responsible for nearly a billion dollars of revenue and 1,000 employees across Europe, Asia Pacific and Latin America. She also held positions at AT&T and Chase Manhattan Bank earlier in her career. A strong proponent of a facts-based culture that drives focus on priorities, accountability, customer-centricity, and teamwork, her distinct management philosophy and approach has earned her multiple business awards and has been chronicled in major publications, including the Wall Street Journal, the New York Times, and the Philadelphia Inquirer. She received an EY Entrepreneur Of The Year® 2018 Award, was recognized by Institutional Investor as one of the best CEOs nationwide and named to its 2018 All-America Executive Team, and named a 2016 Power Woman. In addition to being a member of Tivity’s Board of Directors, Zier serves on the boards of The Hain Celestial Group, Inc. (Nasdaq: HAIN) and Spirit Airlines (NYSE: SAVE). Over the years, she has served on boards and chaired committees for multiple philanthropies and marketing and media entities, including the Data & Marketing Association (DMA), American Diabetes Association (ADA) and American Heart Association (AHA). Zier received a Master of Science in Electrical Engineering and Computer Science as well as an MBA from the Massachusetts Institute of Technology (MIT) and earned a Bachelor of Science in Electrical Engineering and Computer Science from Stony Brook University (SUNY). She currently enjoys guest lecturing at leading universities. A sought-after speaker and industry expert, Zier regularly appears on CBS, CNBC, FOX Business News and Bloomberg TV and commentates on radio stations in major markets throughout the U.S. She also contributes to FORTUNE, The Huffington Post and Philadelphia Business Journal.

Mary S. Flipse, Chief Legal & Administrative Officer

As Chief Legal & Administrative Officer, Mary S. Flipse has responsibility for the legal and contracting functions, as well as human resources, government relations and corporate communications. Flipse joined Tivity Health, Inc in 2011 and assumed the role of General Counsel and Assistant Secretary in 2012. She became Chief Legal Officer in 2015.

Mary's legal career spans more than twenty years. Before joining Tivity Health, Inc, Mary served as a Vice President and Assistant General Counsel with King Pharmaceuticals, Inc. Prior to that, she was with the American law firm, White & Case, in Bangkok Thailand. Mary began her legal career as the founding partner of Dirksen Flipse Doran & Le, the first international law offices in Laos and Cambodia.

Mary earned a Juris Doctor degree from Georgetown University Law Center in Washington, DC, and a Bachelor of Arts from Middle Tennessee State University in Murfreesboro, Tennessee.

Adam Holland, Chief Financial Officer

As Chief Financial Officer (CFO), Adam Holland is responsible for all corporate financial functions including planning and analysis, forecasting and budgeting, external reporting, enterprise risk management as well as strategic initiatives and procurement. Holland joined Tivity Health as CFO in 2017.

Holland has served in a variety of executive financial roles throughout his career, including a 12-year tenure at retailer Kirkland’s, Inc., where he became Chief Financial Officer in 2015. Holland also spent three years earlier in his career as a senior auditor with Ernst & Young, LLP.

Holland holds a Bachelor of Science degree in Business Administration and a Master of Accountancy from the University of Tennessee at Martin.

Tommy Lewis, Chief Transformation Officer & Chief of Staff to the CEO

As Chief Transformation Officer & Chief of Staff to the CEO, Tommy Lewis is responsible for the planning, functional diligence and integration activities for a wide range of transformational initiatives, as well as investor relations. Lewis joined Tivity Health in 2018 and has a successful track record of leading enterprise initiatives, operations, customer experience, marketing and communications for healthcare organizations. Prior to joining Tivity Health, he served as Senior Vice President of Strategic Initiatives at Change Healthcare. He has also previously held several leadership positions focused on customer experience, marketing and growth initiatives. In 2017, he earned the Investor Relations Charter (IRC®) credential awarded by the Certification Council of the National Investor Relations Institute (NIRI). Lewis holds a BS in Computer Information Systems and an MBA in Finance.

Ryan Wagers, Chief Accounting Officer

As Chief Accounting Officer, Ryan Wagers is responsible for all accounting functions including external reporting as well as tax, treasury, and audit. Wagers joined Tivity Health in 2018, bringing over 15 years of experience and a record of delivering operational and financial results in an ever-changing corporate, global market and technological landscape. Prior to joining Tivity Health, he held leadership positions at Sitel Worldwide Corporation where he led a team of over 160 people across 17 countries. He also previously served as Audit Manager with Deloitte LLP and Senior Auditor with PricewaterhouseCoopers LLP. Wagers holds a Master of Accountancy from Belmont University and a Bachelor of Arts degree in Economics from Vanderbilt University.

Arra G. Yerganian, Group Chief Experience and Brand Officer

As the Group Chief Experience and Brand Officer at Tivity Health, Arra Yerganian will drive overall brand strategy for Tivity Health, creating a member-driven, comprehensive, differentiated and unified brand voice, while raising brand awareness and familiarity. He is also responsible for the company’s corporate social responsibility strategy. Prior to Tivity Health, Yerganian served as Chief Marketing / Branding Officer at Sutter Health, One Medical and University of Phoenix. He began his marketing career in 1985 at Procter & Gamble, serving as International Market Manager for multiple international markets. He later worked as Managing Director – International, for the Dial Corporation. Providing innovative, market-driven and value-added solutions has been his focus for the past 25+ years. Yerganian graduated from Boston University and Harvard Business School’s Executive Education Strategic Marketing Management program. He is an active volunteer and Board Chair Emeritus of the Silicon Valley American Red Cross, and a Board member of Rocketship Schools, a nationally acclaimed charter school for inner-city children ages 4-11.

Steve Janicak, President, Healthcare Business Unit

As President, Healthcare Business Unit, Steve Janicak is responsible for top-line growth in Tivity Health’s existing three networks: SilverSneakers, Prime Fitness and WholeHealth Living. He is also responsible for all aspects of the customer and member experience, as well as the company’s efforts to address social isolation and loneliness. Janicak joined Tivity Health, Inc. in 2016 from CareCentrix, where he served as Chief Sales and Marketing Officer. Janicak has more than 30 years of sales and marketing leadership experience, with a proven track record of delivering revenue, profit and market share growth for healthcare services companies, including specific expertise working with Medicare and managed care clients.

Keira Krausz, President, Nutrition Business Unit

As President, Nutrition Business Unit, Keira Krausz leads the revenue generating functions for Tivity Health’s collection of nutrition-based offerings: Nutrisystem and South Beach Diet. Krausz joined the company in 2019, as Nutrisystem was acquired by Tivity Health Inc. Formerly, she was Executive Vice President and Chief Marketing Officer at Nutrisystem, Inc. Prior to her time at Nutrisystem, Krausz served as Vice President of Marketing for QSP, Inc., a subsidiary of Time Inc., was head of new business development for Animated Storyboards and held a series of management and marketing positions at Reader’s Digest Association. Krausz currently serves on the board of directors of the Association of National Advertisers (ANA). Krausz did her undergraduate studies at Cornell University and earned a Master of Business Administration from The Amos Tuck School of Business Administration at Dartmouth College.
